Paisley Indoor Bowling Club

Constitution and Bye-Laws

1 Title

The Club shall be called "Paisley Indoor Bowling Club"

11 Objects

The object of the Club is to promote, foster and encourage the game of Indoor Bowling and other indoor sports and social activities and shall be a non-profit making body dedicated to the supply of sporting services.

111 Administration

The business and affairs of the Club shall be under the management of a committee consisting of a President, Vice President, Immediate Past President and twelve members of committee elected by the general body of members. The President, Vice President and Immediate Past President ex-officio, shall be elected annually at the Annual General Meeting of the Club.

Members of Committee shall be elected for a term of three years four retiring annually at each Annual General Meeting.

Retiring members of the General Committee shall be available for re-election. The immediate Past President shall not be eligible for re-election until the expiry of one year. At the first Annual General Meeting three members of the Committee shall be elected for a period of three years, three for a period of two years and two for a period of one year.

Nominations for the election of members of committee in writing and signed by two Club members proposing and seconding and by the candidate, must be lodged with the Secretary not later than fourteen days prior the Annual General Meeting. These notices must be posted on the notice board at least seven days prior to the
Annual General Meeting.

The Committee will have power to co-opt to fill any vacancy after the Annual General Meeting, which may occur but any co-opted members appointment for any period still to run at the next Annual General Meeting must be confirmed at the Annual General Meeting.

(a) No office-bearer shall rent or lease land to the club.

(b) No office-bearer shall be a relative, business partner or person acting under the direction of any person leasing or renting land to the club.

(c ) No office-bearer shall be a relative, business partner or person acting under the direction of anyone associated with the club who receives emoluments based on the turnover of any aspect of the club activity.

The Company Secretary appointed by the Directors of Paisley Indoor Bowling Club PLC shall also be the Secretary/Treasurer of the Club under such  terms and conditions as the Directors may agree.

IV Meetings

The Annual General Meeting of the Club shall be held in April of each year for the transaction of all competent business and for the election of Office Bearers and Members of Committee. In the event of voting for any of the offices, same shall be by ballot.

On a requisition signed by fifty members the committee shall be bound within twenty-one days to call a Special Meeting of the members.

The requisition shall state the purpose for which the meeting is required and no other business will be transacted. At least seven days notice shall be given to the members.

The Committee of Management will meet monthly.

V Chairman

At all meetings of the club and of the Committee the President or in his absence the Vice-President or in absence of both any member of the Committee elected by the meeting shall preside. The Chairman shall be the sole judge of all questions of order at the meeting and he shall have in all cases of equality a casting vote in addition to a deliberative vote.

VI Quorum

At every General Meeting of the Club thirty members shall form a quorum. At Committee meetings five shall form a quorum.

VII Club Funds

Current Accounts and books shall be kept showing the financial affairs and intromissions of the Club. Immediately after the close of each financial year the Treasurer shall have his accounts audited by a firm of professional accountants appointed at the preceding Annual General Meeting and an abstract of the accounts shall be sent to each member with a notice convening the Annual General Meeting.

All profits or surplus generated by the club activities shall be devoted to maintenance of improvement of the club facilities and in the event of the winding up or dissolution of the club any surplus will be distributed to members or another non-profit making body.

VIII Membership

(a) Ordinary Male Membership

Ordinary male membership is open to males who shall hold at least one £25 share in Paisley Indoor Bowling Club PLC. Each member shall have the right to vote on all matters concerning the club, and the number of members in this class shall be regulated by the Committee. Ordinary male members shall each have one vote at General Meeting.

Ordinary  male member who do not hold at least one share in Paisley Indoor Bowling Club P.L.C. shall have the same playing rights as a shareholder playing member, but will not have any right to vote on any matters concerning the club, and the number in this class shall be regulated by the Committee.

(b) Associate Membership

Associate Senior Membership is open to Bowlers of 60 years of age and over who are retired from their normal employment and who are members of either recognised Indoor Bowling Clubs including Paisley Indoor Bowling Club or recognised ordinary bowling clubs. Members of Paisley Indoor Bowling Club who to apply to transfer to Associate Membership shall be aged 60 years or over and shall have been a ordinary member for at least 10 years.

Associate Members may or may not be shareholders of Paisley Indoor Bowling Club PLC.

Associate Members unless shareholders shall have no right or interest in the property Paisley Indoor Bowling Club PLC No Associate Members shall have voice or vote in the management of the Club affairs.

It shall be competent for the Committee to agree to the use of the Bowling Green and Club Premises by Associate Members under such conditions and on such days or dates as may be fixed by the Committee. The number of members in this class shall be regulated by the Committee.

(b.2) Junior Section

This section is open to both girls and boys between the ages of 10years and 16years old, Junior Members may or may not be a shareholder of Paisley Indoor Bowling Club PLC.

Junior Members unless shareholders shall have no right or interest in the property of Paisley Indoor Bowling Club PLC.

No junior member shall have voice or vote in the management of the club affairs.

It shall be competent for the Committee to agree to the use of the Bowling Green and Club premises by Junior Members under such conditions and on such days or dates as may be fixed by the Committee.

The Committee shall regulate the number of members in this class.

Ordinary Female Membership

Ordinary female Membership is open to Ladies who shall hold at least one £25 share in Paisley Indoor Bowling Club PLC. Such members shall have the right to vote on all matters concerning the club and the number of members in this class shall be regulated by the Committee. Ordinary Female members shall each have one vote at General Meeting.

Ordinary female member who do not hold at least one share in Paisley Indoor Bowling Club P.L.C. shall have the same playing rights as a shareholder playing member but will not have any right to vote on any matters concerning the club, and the number in this class shall be regulated by the Committee.

(d) Temporary Membership

On occasions of matches with other clubs the members of the visiting teams shall become Temporary Members for the duration of their stay and during that period each individual name shall be displayed in a conspicuous place in the Club premises.

(e) Associate Non Playing Membership

Associate Non- Playing Membership is open to ex-members, wife or husband of an ordinary member and other Ladies and Gentlemen at the discretion of the Committee of Management.

Non-Playing associate members may or may not be shareholders in Paisley Indoor Bowling Club PLC. Associate Non-Playing members unless shareholders shall have no right or interest in the property of Paisley Indoor Bowling Club PLC.

No Non-Playing Associate Member shall have voice or vote in the management of the Club affairs.

The number of Members in this class shall be regulated by the Committee of Management. The applicant must be proposed and seconded by two ordinary members, male or female. A non-playing Associate Member shall have the use of all facilities of the Club except playing facilities.

(f) General

All members of the Club shall be elected by the Committee. The names and addresses of persons proposed as ordinary or associate member of the Club shall be displayed in a conspicuous place in the Club premises for at least a week before their election and an interval of not less than two weeks shall elapse between the nomination and election of such members. No person under 14years shall be admitted a member of the Club.

Persons under the age of 14years are only permitted in areas of the Stadium, which are not directly served by the bar.

The Committee shall have full power to reject any nomination without reason for such rejection being given. After election each new member shall receive a copy of the Constitution and Rules of the Club.

(g) Honorary President

The nomination of an Honorary President may only be recommended by the Committee of Management on members as may be thought desirable.

(h) Honorary Membership

Honorary members. Granted to those who by personal services or otherwise have materially contributed to the prestige and prosperity of the Club, on the unanimous recommendation of the Committee of Management and subsequent approval by a majority of members at a Annual General Meeting. They shall be entitled to all the rights and privileges of Ordinary Members, but shall not be liable for payment of an annual subscription.

IX Entrance & Subscriptions

On submission new members shall pay such entrance fee as may be fixed by the Committee from time to time.

The Annual Subscription for Ordinary Make members, for Ordinary Female members and Non-Playing Associate members shall be such sums as may be fixed by members at the Annual General Meeting payable immediately after the A.G.M. and not later than the 1st October for the succeeding year. The Committee shall have power to suspend any member whose subscription is unpaid after it falls due.

X Suspension

The Committee shall have power to suspend or dismiss from the Club any member whose conduct may be offensive or disagreeable or who may have acted contrary to any Rules or Bye-Laws of the Club.

XII Visitors

Each Ordinary, Associate Member and Non-Playing Associate Member shall be allowed to bring friends as visitors with him or her to the Club in accordance with the Regulations made by the Committee. A visitor shall not be supplied with excisable liquor in the Club premises unless on the invitation and in the company of a member and that member shall upon admission of such a member to the Club premises or immediately upon his being supplied with such liquor enter his own name and the name and address of the visitor in a book which shall be kept for the purpose and which shall show the date of each visit.

Sale of Liquor

No excisable liquor shall be sold or supplied in the Club Premises for consumption off the Premises. No excisable liquor shall be brought into the Club Premises, for consumption on the premises by members and visitors. No excisable liquor shall be sold or supplied to any person under 18 years.

No member of Committee and no Manager or servant employed in the Club shall have any personal interest in the sale of excisable liquor therein or in the profit arising from each sale.

The Bar shall be operated in accordance with the terms, conditions and provisions laid down in the Licensing (Scotland) Acts or other statutes. The hours during which excisable liquor may be sold, subject to the foregoing acts, will be decided by the Committee of Management.

XIV Alterations to Constitution

The constitution may be altered at a General Meeting by a Two-thirds majority of those present and voting

Bye-laws

1. The Club premises shall be opened from 10.00am and shall be closed not later than 11.00pm. The Committee have the power to extend or alter the hours as required.

2  The Club will accept no responsibility for any articles lost in the Club.

3  All complaints shall be made in writing to the Secretary for the consideration of the Committee.

4  Under no circumstances will credit be given to any member.

5  Unless otherwise provided for in the Club's Competition Rules all Competitions shall be played under  the Rules of the Scottish Indoor Bowling Association.

6  Members are requested to use the Cloakrooms for outdoor clothing, bowling bags and other items.

7  Alterations to the Rules and Regulations and Bye-laws can be made from time to time by the Committee and due notice will be given to Club Members.

1)       Male membership from two shares to one

2)       Junior Membership age reduced from 16 years to 14

3)       Age 14 to 25 years of age pay £ 30 Subscription

4)       Fees paid no later than 1st October from 1st September

5)       £ 10 discount paid to members who introduce a new member (not former) but not exceeding their annual fee

6)       Ladies Quorum for General meetings changed to 10
